Sentra Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User" or "you") and Ambit Tech Pte Ltd.. ("Sentra," "we," "us," or "our") regarding your access to and use of our website, applications, and services, including accounts payable (AP) and accounts receivable (AR) functionality, crypto-to-fiat and fiat-to-crypto conversions, and wallet services (collectively, the "Services").

1. Acceptance of Terms

By accessing, browsing, or using any part of the Sentra website, applications, or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any future modifications. If you do not agree to these Terms in their entirety, you must not use or access the Services.

Your continued use of the Services after any updates or modifications to these Terms constitutes your acceptance of those changes. We may amend, modify, or update these Terms at any time, at our sole discretion. Notice of material changes may be provided by email, platform notification, or by posting the updated Terms to our website with a revised “Last Updated” date. It is your responsibility to review these Terms regularly.

You represent and warrant that you are authorized to enter into these Terms on behalf of yourself or the organization you represent, and that all information you provide to Sentra is accurate and complete. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Access to and use of the Services is intended only for individuals who are legally permitted to do so under applicable law. The Services are not offered in jurisdictions where the provision or use would violate local laws or regulations or subject Sentra to additional compliance obligations or registrations.

If you do not meet these eligibility criteria or fail to comply with any part of these Terms, your license to access the Services is automatically revoked.

2. Eligibility

To access or use the Services, you must meet all of the following eligibility criteria. By using the Services, you represent and warrant that:

  • Age & Legal Capacity: You are at least 18 years of age (or the age of legal majority in your jurisdiction), and have the full right, power, and authority to enter into and comply with these Terms.

  • Legal Compliance: You are not a person or entity barred from accessing the Services under the laws of your jurisdiction, including but not limited to laws governing anti-money laundering (AML), counter-terrorism financing (CFT), or export restrictions.

  • Jurisdictional Restrictions: You are not a resident, national, or incorporated entity of, nor physically located in, any country or region that is:

    • Subject to U.S. or international sanctions (e.g., OFAC, EU, UK, UN lists);

    • Prohibited from accessing the Services under applicable laws or regulations;

  • Non-Use for Prohibited Entities: You are not acting on behalf of, or for the benefit of, any entity or individual that is sanctioned or restricted.

  • No Prohibited Use: You will not use the Services for any illegal, abusive, or unauthorized purposes, including those listed in Section 7 (Prohibited Activities).

Sentra reserves the right to deny access to the Services or close your account if it determines, at its sole discretion, that you no longer meet the eligibility criteria outlined above. You are solely responsible for ensuring that your use of the Services is compliant with all applicable laws, regulations, and restrictions in your jurisdiction.

3. Services Overview

Sentra is a financial technology platform that offers a suite of services for managing business payments, invoicing, and currency conversions between crypto and fiat. These Services include, but are not limited to:

3.1. Accounts Payable (AP) & Accounts Receivable (AR)

  • Tools to create, send, receive, and manage invoices for payments in fiat or supported cryptocurrencies.

  • Ability to generate shareable payment links, reconcile payments, and view transaction history for bookkeeping purposes.

3.2. Crypto-to-Fiat and Fiat-to-Crypto Conversions

  • Sentra operates as a technology platform only and does not provide money transmission, payment services, or virtual asset services directly. 

  • All fiat conversions are executed by licensed third-party providers in each applicable jurisdiction. 

  • Users acknowledge Sentra holds no MTL, PSP, or VASP licenses and acts solely as software provider.


3.3 Wallet Services

Users may connect digital asset wallets to the platform through two methods:

External Wallet Connection: Users may connect existing self-custody wallets by providing wallet addresses for payment receipt. Sentra has no involvement in wallet creation, management, or private key custody for external wallets.

Integrated Wallet Services: Users may optionally create non-custodial wallets through HORKOS, INC. (D/B/A Privy), a third-party service provider. Wallet services provided via Privy are subject to Privy's separate terms of service, which are incorporated herein by reference and available at https://www.privy.io/user-terms-of-service. Users retain exclusive control of all private keys generated through Privy's service.

For both wallet types, users acknowledge that:

  • Sentra never accesses, controls, or has custody of user digital assets or private keys;

  • Loss of private keys results in permanent and irreversible loss of funds;

  • Cryptocurrency transactions are irreversible and Sentra has no recovery capabilities;

  • Users are solely responsible for wallet security, backup, and private key management.

3.4. Platform Access and Limitations

  • Sentra’s Services are provided on an “as-is” and “as-available” basis. Features may vary based on region, user type (individual, business, or developer), and applicable compliance requirements.

  • Sentra may change, enhance, restrict, or discontinue certain features at its sole discretion, with or without notice, as part of ongoing platform updates or legal obligations.


3.5. Non-Securities Disclaimer

The Services constitute technology infrastructure for payment processing only and do not represent securities, investment contracts, collective investment schemes, or financial instruments under applicable law. Users acknowledge that:

  • No expectation of profit derives from Sentra's managerial efforts or business operations;

  • Services are utility-based with fees paid for discrete processing functions consumed;

  • No common enterprise, profit-sharing, or pooled investment arrangements exist between users or with Sentra;

  • Any economic benefits result solely from users' independent commercial activities.


Users represent that their use complies with applicable securities and investment regulations in their jurisdiction. Sentra does not provide investment advice or recommendations regarding digital assets or investment strategies.

4. User Registration

To access and use certain features of the Services, you are required to create a user account. By registering for an account, you agree to the following:

4.1 Accurate Information

  • You must provide truthful, complete, and current information as requested during the account creation process.

  • You are responsible for ensuring that your registration details remain accurate and up to date at all times. Failure to do so may result in restricted access or account suspension.


4.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

  • You agree not to share your account credentials with any third party and to notify Sentra immediately if you suspect unauthorized use or account compromise.

4.3 One Account Per Entity

  • Unless explicitly approved by Sentra, each user or business entity may only register one account. Duplicate accounts may be suspended or merged at our discretion.

4.4 Account Ownership and Access

  • If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

  • You may not assign or transfer your account without prior written consent from Sentra.

4.5 Account Termination

  • Sentra reserves the right to suspend, restrict, or permanently delete any account that is inactive, incomplete, non-compliant, or involved in prohibited activities (see Section 7).

  • You may terminate your account at any time by contacting us directly, subject to any pending transactions, compliance checks, or legal obligations.

5. Compliance & Verification

To maintain the integrity of our platform and comply with applicable laws and regulatory obligations, Sentra may, at any time, require you to undergo identity, business, and transaction verification processes. By using the Services, you agree to the following:

5.1 KYC, KYB, and KYT Procedures

  • You agree to provide complete, accurate, and up-to-date information for Know Your Customer (KYC), Know Your Business (KYB), and Know Your Transaction (KYT) checks as required by Sentra or its third-party compliance providers.

  • This may include, but is not limited to: personal or business identification documents, proof of address, ownership structure, source of funds or wealth, and the intended purpose of your activity on the platform.

  • You authorize Sentra to share your information with regulated partners, such as virtual asset service providers (VASPs), payment processors, or verification tools, strictly for the purposes of compliance and transaction monitoring.

5.2 Ongoing Monitoring

  • Sentra implements continuous sanctions screening via third-party providers to detect suspicious or prohibited activities, assess compliance risks, and meet its obligations under applicable anti-money laundering (AML), combating the financing of terrorism (CFT), and sanctions screening frameworks.

  • Additional information or re-verification may be requested from time to time, and your continued use of the Services is contingent upon satisfactory completion of such reviews.

5.3 Right to Restrict Access

  • Sentra reserves the right to delay, restrict, suspend, or terminate access to the Services if:

    • You fail to provide requested information or documentation;

    • Your information cannot be verified or raises compliance concerns;

    • Your activity is deemed to present regulatory, reputational, or operational risk.

5.4 Legal Cooperation

  • You acknowledge that Sentra may be required to share user information or transaction records with regulatory authorities or law enforcement upon valid request or legal obligation, without prior notice to you.

Failure to comply with these verification and monitoring requirements may result in restrictions, account suspension, or permanent termination, at Sentra’s sole discretion.

6. Fees & Payment

6.1 Service Fees

  • Certain features of the Sentra platform may be subject to usage-based or transaction-based fees. The applicable fees for specific Services will be disclosed to you prior to execution or confirmation of the transaction.

  • Sentra reserves the right to revise its fee structure at any time. In the event of a material change in fees, we will provide reasonable notice via email, in-app notification, or website update.

6.2 Payment Methods

  • All fees and charges must be paid in the supported currency indicated at the time of transaction (e.g., USD, USDC, or other listed options).

6.3 Taxes and Fiscal Responsibilities

  • You are solely responsible for determining and complying with any tax obligations that may arise from your use of the Services. This includes, but is not limited to, income tax, sales tax, value-added tax (VAT), goods and services tax (GST), or any other applicable local or international taxes.

  • Sentra does not calculate, collect, or remit taxes on your behalf, unless explicitly required to do so by applicable law or regulatory authority.

  • You are responsible for reporting your income or payment activity to the relevant tax authorities and for maintaining appropriate records for your own tax reporting, filing, and auditing purposes.

  • If you are located in a jurisdiction that requires withholding taxes or self-assessment of taxes on payments made or received through the platform, it is your duty to comply with such obligations without involvement from Sentra.

  • Sentra may be required under applicable regulations to share transactional or account-related information with tax authorities or governmental bodies, and you consent to such disclosures where required by law.

6.4 Non-Payment and Disputes

  • Failure to pay any due fees may result in suspension or termination of access to Services until outstanding amounts are settled.

If you believe that a fee has been incorrectly assessed or charged, you must notify Sentra within 30 days of the disputed transaction, after which the charge will be deemed accepted.

7. Prohibited Activities

You agree not to use the Services for any unlawful, abusive, or unauthorized purpose. This includes, but is not limited to, the following activities:

7.1 Illegal or Regulated Use Cases

  • Engaging in any criminal, fraudulent, or deceptive activities.

  • Using the Services in violation of any applicable sanctions laws or regulations (including U.S. OFAC, EU, UK, and UN sanctions).

  • Facilitating money laundering, terrorist financing, tax evasion, or other financial crimes.

  • Using the Services to transact with or on behalf of individuals, entities, or jurisdictions that are sanctioned or prohibited.

7.2 Platform Abuse and Technical Violations

  • Attempting to probe, scan, or test the vulnerability of any Sentra system or network.

  • Circumventing or attempting to circumvent security features, account restrictions, or identity verification requirements.

  • Deploying automated tools like bots, scrapers, spiders, or offline readers without our prior written consent.

  • Introducing or transmitting malicious code, viruses, or any technology designed to disrupt or harm the platform.

7.3 Misuse of Sentra Accounts

  • Sharing, reselling, or sublicensing access to the platform to unauthorized parties.

  • Creating accounts using false identity or on behalf of others without proper authorization.

  • Impersonating another person or entity, or misrepresenting your affiliation with any person or organization.

7.4 Financial Misconduct and Risky Activities

  • Using third-party funds or wallets you do not control or own.

  • Engaging in high-risk financial activity such as investment schemes, multi-level marketing (MLM), or unregistered securities offerings.

  • Conducting transactions involving counterfeit goods, illicit drugs, illegal adult content, weapons, or stolen data.

7.5 Harmful Conduct Toward Others

  • Harassing, threatening, or harming Sentra personnel, other users, or service partners.

  • Uploading or distributing content that is libelous, discriminatory, obscene, or violates the rights of others (including intellectual property and privacy rights).

  • Exploiting, deceiving, or causing harm to any user, especially for financial gain.

7.6 Violations of Third-Party Terms

  • Misusing any third-party integrations, APIs, or services connected to Sentra (e.g., wallets, PSPs).

  • Violating the terms of service of any external provider used in conjunction with Sentra.

8. Intellectual Property

All content, functionality, and technology available through the Services—including but not limited to software, source code, APIs, databases, visual interfaces, logos, text, graphics, button icons, and design elements—are the exclusive property of Ambit Tech Pte Ltd. or its licensors and are protected under applicable intellectual property and unfair competition laws.

8.1 License to Use

  • Sentra grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for your internal business purposes and in accordance with these Terms.


8.2 Restrictions

  • You may not copy, reproduce, republish, modify, create derivative works from, distribute, sell, license, or exploit any part of the Services or related content without prior written consent from Sentra.
    You may not reverse engineer, decompile, or attempt to extract source code or algorithms from any part of the platform.

8.3 Feedback and Suggestions

  • By submitting any feedback, ideas, or suggestions about the Services, you grant Sentra a royalty-free, perpetual, and irrevocable license to use, reproduce, and commercialize such input without any obligation to you.

9. External Services

The Sentra platform may contain links, integrations, or connections to third-party applications and services—including but not limited to payment providers, wallet tools, and KYC/KYB services.

9.1 Third-Party Tools and Partners

  • These external services are operated by independent third parties, and your use of them is subject to their separate terms and conditions.

  • Sentra does not control, audit, or guarantee the availability, accuracy, or security of third-party services or data.

9.2 Assumption of Risk

  • You acknowledge that engaging with third-party integrations involves risks, including loss of funds, technical failures, or unauthorized access, and you assume full responsibility when choosing to interact with them.

9.3 Disclaimers

  • Sentra disclaims any liability for damages or losses arising from your use of, reliance on, or inability to access any external service or integration.

10. Limitation of Liability

To the maximum extent permitted by law, Sentra disclaims all liability for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your transmissions or content.

11. Termination

Sentra reserves the right to suspend, restrict, or terminate your access to the Services at any time, with or without notice, and for any reason deemed necessary to protect the integrity of the platform or comply with legal obligations.

11.1 Termination by Sentra

Your access to the Services may be terminated or suspended if:

  • You violate these Terms or any applicable law or regulation.

  • Your use of the Services poses security, operational, reputational, or compliance risk.

  • Required by court order, regulatory authority, or enforcement action.

11.2 Termination by You

  • You may close your account at any time by contacting support, subject to completion of any pending transactions or compliance checks.

11.3 Effects of Termination

  • Upon termination, all rights granted to you under these Terms will cease, and you must discontinue all access to the Services.

  • Sentra may retain or delete your account data in accordance with its data retention and legal compliance obligations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sentra, along with its affiliates, subsidiaries, officers, employees, agents, and partners, from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (1) your use of the Services; (2) your breach of these Terms; (3) any false representations or warranties you provide under these Terms; (4) your infringement of any third-party rights, including intellectual property; or (5) any harmful or unlawful actions directed at other users of the platform. We reserve the right, at your cost, to take control of the defense of any claim subject to this indemnity, and you agree to cooperate with us in the defense and resolution of such matters. We will make reasonable efforts to inform you of any claim, demand, or proceeding requiring indemnification once we become aware of it.

13. Modifications

Sentra may amend, modify, or update these Terms at its sole discretion to reflect changes in legal requirements, operational needs, or service improvements.

13.1 Notification of Changes

  • We will notify you of material changes to these Terms via email, account notification, or by updating the “Last Updated” date at the top of this document.

  • It is your responsibility to regularly review the Terms to stay informed.

13.2 Effective Date of Changes

  • Any updated Terms will take effect immediately upon posting unless otherwise stated.

  • Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

13.3 Declining Updated Terms

  • If you do not agree to any future modifications of these Terms, your sole remedy is to stop using the Services and close your account.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

15. Force Majeure

Sentra shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service failures, blockchain network outages, or failures of third-party providers.
